Differently from the majority of companies formed by our Group, San Marino companies cannot be sold in ‘packages’ and every single customer and circumstance must be considered before any company incorporation.

The s.r.l. (limited liability company) are the easiest and more flexible San Marino companies, but we have also to consider the following characteristics: 

• A minimum capital of €26.000 is required for San Marino companies; half of it must  be paid up by three months as from the issuing of the certificate of incorporation; the rest of the sum is to be paid within three years; unless there are contingent necessities of the company 
• The director (or the board of directors) must be one or more natural persons and they cannot be exempted from their assignment. According to the law, the director cannot easily free himself from his powers: it follows that San Marino companies cannot be provided with nominee directors or be granted with general power of attorney, but only special proxies limited to certain actions or duties can be issued.
• Every San Marino company must be granted with a licence issued by the Department of Trade and Industry; some of the ‘standard’ licences are very easy to obtain, but other licences require a specific decision. Bank, insurance, property and trust licences obviously necessitate different requirements
• In order to get a regular licence, every company must have a registered office, not assigned to other companies and suitable to carry out its own activities
• The shares of a Ltd. can be held in trust (through a San Marino trust) or also trough foreign holdings (Panamanian or of a different
  country)
• An annual meeting must be held in the presence of a San Marino notary public. Every acquisition of immovables and every important dealing require the convocation of a meeting
• The procedure to incorporate a company on San Marino, to obtain the COE (Economic Operator Code) and the ‘standard’ licence typically takes 30 working days, but it can take three months if a Counsel decision is required

San Marino... the smallest and oldest Republic in the world.

The smallest and oldest constitutional Republic in the world was founded by the Saint of the same name on the Titano mountain in 301 AD. With its (only) 61 square kilometres and 30.000 inhabitants, San Marino is divided into nine “Castles” comparable to municipalities: San Marino (the
capital), Acquaviva, Borgo Maggiore, Chiesanuova, Domagnano, Faetano, Fiorentino, Montegiardino and Serravalle. Dogana is the largest town of San Marino and it is not a “Castle” but a “curazia” (hamlet) of Serravalle. After many vicissitudes, San Marino has been keeping its territorial, political and economic dependence since 301, becoming a corner of paradise within Italy.
Though it cannot be considered a tax-heaven, San Marino has numerous advantages for those investors who choose it as the seat of their business: there is no VAT to be paid, which is partly replaced by the import duties (monofase tax); taxations on the company income are limited to 19% (will be lowered to 17%) and tax crime is inexistent as, by law, it can be extinguished. The available companies are the S.r.l. (Ltd.),
the S.p.A. (Joint Stock Companiey) and SA (Anonimous Company). However the presence of a wide range of banks and trusts enables shareholders of S.r.l. and S.p.A. to protect their privacy.
